PUBLIC OFFER AGREEMENT

Welcome to the ONE-EYED online store. This Public Offer Agreement (hereinafter referred to as the "Agreement") constitutes an official and public invitation by the Seller to conclude a distance retail purchase and sale contract for the Products presented on the website https://oneeyed.com.ua. This Agreement is legally binding on both the Seller and the Buyer from the moment of offer acceptance.

Please read these Terms and Conditions carefully. If you do not agree with or do not fully understand any provision of this Agreement, you have the right to refuse to make a purchase or contact us for clarification via email: oneeyedbrand@gmail.com. By placing an order on the Website, you automatically confirm your full, unconditional, and irrevocable consent to all provisions of this Agreement.

1. DEFINITIONS

• "Seller" – Sole Proprietor (FOP) Moroz Evheniia Volodymyrivna (Tax ID / RNOKPP: 3208812707, registered legal address: 18/27 Rosvyhivska St, Mukachevo, Zakarpattia Oblast, 89607, Ukraine), who owns the "ONE-EYED" trademark (brand) and administers the Website.
• "Buyer" – Any legally capable individual (at least 18 years of age) or legal entity who visits the Website, orders, purchases, or intends to purchase Products for personal or commercial use.
• "Products" – Clothing, accessories, and other goods offered for sale on the Website via photographic samples accompanied by descriptive specifications.
• "Website" – The ONE-EYED online store located at the web address https://oneeyed.com.ua, including all its sub-pages, digital content, and online services.
• "Order" – A properly completed and submitted request by the Buyer to purchase selected Products added to the "Cart", specifying the payment and delivery methods.
• "Content" – All intellectual property assets owned by the Seller and displayed on the Website (including source code, UI/UX design, text, graphics, photography, video materials, trademarks, and logos).

2. GENERAL PROVISIONS

2.1. This Agreement is a public contract (pursuant to Articles 633 and 641 of the Civil Code of Ukraine) and an adhesion contract. The Buyer cannot propose individual terms and adheres to the Agreement strictly as a whole.

2.2. Clicking the "Place Order" or "Pay" button during the checkout process constitutes the Buyer's full and unconditional acceptance (consent) of all terms stipulated herein.

2.3. The Seller reserves the right to amend this Agreement at any time without prior notice. Amendments take effect upon publication on the Website and do not apply retrospectively to orders that have already been confirmed and paid for.

3. WEBSITE USE AND CODE OF CONDUCT

3.1. Registration on the Website is optional for placing an order; however, creating an account provides access to the Personal Dashboard and additional customer services.

3.2. The Buyer agrees to provide accurate, current, and truthful personal data during checkout or account registration.

3.3. All communications between the Buyer and the Seller's representatives (customer support, social media, messengers) must remain professional, polite, and respectful. The use of profanity, insults, threats, discrimination, or blackmail is strictly prohibited. The Seller reserves the right to terminate service for any user who violates this rule.

4. ORDER PLACEMENT AND CURRENCY RULES

4.1. The Buyer independently selects Products from the catalog, determines the appropriate size using the provided size charts or by consulting customer support, and adds items to the "Cart".

4.2. The Website interface and Content are available in multiple languages. Product descriptions in different language versions are adapted for convenience.

4.3. Currency of Settlement: All Product prices displayed on the Website in foreign currencies are for marketing and informational purposes only. The final billing, withdrawal, and transaction processing on the Seller's bank account are executed exclusively in the national currency of Ukraine – Ukrainian Hryvnia (UAH). If the Buyer's payment card is issued in another currency, currency conversion is performed by the Buyer's issuing bank at its internal commercial rate on the day of transaction. The Seller is not liable for any conversion fees or exchange rate differences incurred by the Buyer.

5. ORDER CONFIRMATION AND CANCELLATION

5.1. Upon placing an Order, the Buyer receives an automated notification via email or messenger. This notification confirms receipt of the request but does not guarantee Product availability.

5.2. An Order becomes legally binding on the Seller only after stock verification and the issuance of an official Shipping Confirmation. If an item is out of stock, customer support will contact the Buyer. If the Order cannot be fulfilled, it will be canceled, and any pre-paid funds will be fully refunded within 14 calendar days.

5.3. Domestic Order Cancellation (Ukraine): The Buyer may cancel an order for delivery within Ukraine at any time before it is handed over to the courier service.

5.4. International Order Cancellation: Cancellations of international orders after payment and processing are not accepted. Please review your order details thoroughly before proceeding to payment.

6. PRICING AND PAYMENT TERMS

6.1. Prices for Products are established by the Seller and displayed on the Website. Product prices do not include international shipping costs, customs clearance fees, import duties, or taxes applicable in the destination country.

6.2. In the event that a technical error occurs and an item is listed at an incorrect price, the Seller will immediately notify the Buyer. The Buyer will have the option to reconfirm the order at the correct price or cancel it.

6.3. Acceptable payment methods include:

• Credit or debit cards (Visa, MasterCard), Apple Pay, and Google Pay via the secure payment gateway "Plata by mono". No additional transactional fees are charged to the Buyer for online payments on the site.
• Direct bank transfer via IBAN to the Seller's settlement account (account details are provided upon request via Instagram/Telegram/Email).

6.4. An electronic receipt or payment confirmation is automatically sent to the Buyer's designated email address following successful checkout.

7. DELIVERY AND SHIPPING

7.1. Local Pickup (Ukraine): The Buyer can pick up the order directly from the workshop located at 31 Sofii Yablonskoi St (Zavodska St), Lviv, 79019, Ukraine, by prior arrangement with customer support.

7.2. Domestic Shipping (Ukraine): Shipped via "Nova Poshta". Order processing and dispatch typically take 1 to 7 business days. Shipping costs are determined by the carrier's tariffs and paid by the Buyer.

7.3. International Shipping: Executed via postal and logistics operators "Ukrposhta" and/or "Nova Poshta Global". The specific carrier is chosen unilaterally by the Seller to ensure the most efficient, secure, and cost-effective shipping tariff and logistical route for the Buyer's region. Estimated international transit times range from 10 to 28 business days, depending on the destination country, customs clearance speed, and ongoing global logistics conditions.

8. SPECIAL INTERNATIONAL PROVISIONS (CUSTOMS, TAXES, AND EXCHANGES)

8.1. International Exchange and Return Policy:

• PRODUCT EXCHANGES ARE NOT AVAILABLE. For all orders shipped outside of Ukraine, direct item exchanges (for alternative sizes, colors, or styles) are not supported due to complex international customs regulations and logistics.
• If an international Buyer requires a different size or another item, they must place and pay for a new separate order on the Website.
• Returns of international orders of good quality are permitted only if the Buyer fully and solely covers all costs associated with international return shipping. This includes transport fees, customs duties, import taxes, and any associated logistics or brokerage fees for customs clearance upon the package's re-entry into Ukraine. The Seller does not compensate for these expenses and maintains the absolute right to deduct any such costs from the refund amount if these fees were billed to or prepaid by the Seller. The Product must strictly meet the requirements set forth in Section 9 of this Agreement (retained commercial appearance, original tags/labels attached, and no signs of use).
• Upon receipt and successful condition inspection of the returned Product at the Seller's warehouse, only the net price of the Product (minus any applicable customs clearance fees incurred during return) will be refunded to the Buyer. The original outbound shipping fee paid by the Buyer, as well as any import taxes/duties paid at checkout, are strictly non-refundable.

8.2. EU Shipments — Customs Regulations and Taxation:

In accordance with updated EU customs regulations, the €150 de minimis threshold for tax-free imports has been abolished. VAT, customs duties, and handling fees apply to all commercial packages imported into the EU from non-EU countries (including Ukraine). For all commercial shipments valued up to €150, customs duty, Value Added Tax (VAT) at the rate of the destination country, and a fixed customs handling fee of €3 per individual item apply. Local postal operators may also levy additional customs clearance processing fees or regional logistics surcharges.

• Terms for Orders Valued up to €150 (Denmark, Germany, Malta, and Spain): All applicable import taxes, VAT, duties, and fixed fees are prepaid by the Seller (our company). These costs are automatically calculated and added to your final checkout summary. Buyers in these specific countries will face no additional charges upon package delivery.
• Orders Valued Over €150: For all EU countries, when ordering goods with a total value exceeding €150, standard international customs clearance procedures apply. All import duties, VAT, brokerage fees, and administrative charges must be paid in full directly by the Buyer in the destination country during customs inspection.
• Terms for Orders Valued up to €150 (Other EU Countries): For all other EU member states not listed above, all import taxes, VAT, customs duties, and local clearance fees must be paid independently by the Buyer upon package arrival in the destination country. Please note that this list of countries and terms may be updated in the future.

8.3. US Shipments — Customs Regulations and Taxation:

Under current US import regulations, the duty-free exemption threshold has been removed, and customs duties apply to commercial shipments.

• Calculation of Duty Rates: The specific import duty rate is calculated individually for each product item based strictly on its specific Harmonized System Code (HS Code / UКТЗЕД), fabric composition, and apparel category.
• Orders Valued up to $2500: The calculated customs duty amount is prepaid by the Seller (our company) and factored into the final order total at checkout on the Website. US Buyers will not be required to pay any extra customs charges upon delivery.
• Orders Valued Over $2500 (Formal Entry): For purchases with a total value exceeding $2500, the package falls under the US Formal Customs Entry procedure. In this event, all customs clearance operations, payment of import duties, national taxes, and local broker fees must be handled directly by the Recipient (Buyer) in the United States in accordance with US Customs and Border Protection (CBP) requirements.

8.4. Rest of the World:

• For deliveries to countries not covered in sections 8.2 and 8.3, all applicable import duties, taxes, clearance fees, and regional brokerage charges are the sole responsibility of the Buyer.
• The Buyer assumes full financial and legal liability for import compliance. The Seller strongly advises checking with your local customs office to verify current import limits and tax rates before finalizing your purchase.

9. RETURNS AND EXCHANGES (FOR DOMESTIC ORDERS WITHIN UKRAINE)

9.1. Pursuant to Article 9 of the Law of Ukraine "On Protection of Consumer Rights", the Buyer has the right to exchange or return a Product of good quality within 14 calendar days from the date of its actual receipt by the Buyer (or their authorized representative) if the product does not satisfy the consumer in terms of shape, size, style, color, or cannot be used as intended for other reasons.

9.2. A return or exchange of an item of good quality is approved only if:

• The item has not been used and shows no signs of wear (no stains, odors, or indications of washing);
• Its original commercial appearance, tags, labels, seals, and original packaging are fully preserved;
• The Buyer provides a proof of purchase (receipt/invoice) and a completed Return Form.

9.3. All shipping and courier costs associated with returning or exchanging non-defective items are paid entirely by the Buyer.

9.4. Defective Products (Items of Poor Quality): If a Buyer receives a product with a manufacturing defect or an incorrect item/size due to the Seller's error, they must report it to customer support within 7 days of delivery with photographic proof. Verified defective returns are processed fully at the Seller's expense.

9.5. Exclusions: Returns or exchanges are not permitted for items discounted due to pre-disclosed flaws, custom-made products tailored to the individual measurements, parameters, or personal modifications requested by the Buyer, as well as specific product categories exempted from return under Ukrainian law for hygiene and sanitation reasons (such as underwear, bodysuits, corsets, pajamas, and hosiery).

9.6. Monetary refunds are processed within 14 days after the returned item is successfully received, inspected, and approved by the Seller at the warehouse. Refunds are executed strictly via the same payment method and to the same bank account / payment card that was originally used by the Buyer to make the initial transaction (in accordance with international payment system rules and anti-fraud security standards).

10. PERSONAL DATA PROTECTION

10.1. By submitting personal details during checkout or registration, the Buyer grants voluntary consent to FOP Moroz E.V. for the collection, processing, and storage of their personal data in accordance with the Law of Ukraine "On Personal Data Protection".

10.2. The Seller processes personal data solely to fulfill orders, manage shipments, process payments, and distribute promotional newsletters (only with the Buyer's explicit consent). Personal data will never be shared with third parties, except for trusted postal services and financial gateways required to complete your transaction.

11. INTELLECTUAL PROPERTY

11.1. All digital and physical Content on the Website https://oneeyed.com.ua is the exclusive intellectual property of FOP Moroz E.V. and is protected by Ukrainian and international copyright and trademark laws.

11.2. Any unauthorized copying, reproduction, extraction, modification, or commercial exploitation of photos, apparel designs, graphics, branding, or texts belonging to ONE-EYED without explicit prior written authorization from the Seller is strictly prohibited and subject to legal prosecution.

12. LIMITATION OF LIABILITY AND FORCE MAJEURE

12.1. The Seller is not responsible for minor color variations in Product photos, which may occur due to individual digital screen calibration, brightness settings, or hardware specifications of the Buyer's device.

12.2. The total financial liability of the Seller under this Agreement for any breach or failure to perform shall be strictly limited to the actual purchase price paid by the Buyer for the specific Product in question.

12.3. Neither party shall be held liable for failure to fulfill obligations under this Agreement if such failure is caused by an event of Force Majeure (including military conflicts, acts of war or terrorism, natural disasters, state emergencies, civil unrest, or widespread telecommunication and power grid failures) that could neither be foreseen nor prevented.

13. GOVERNING LAW AND JURISDICTION

13.1. This Agreement shall be governed, construed, and enforced in accordance with the material and procedural laws of Ukraine.

13.2. Any disputes arising out of or relating to this contract shall first be sought to be resolved via amicable negotiations. If an agreement cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Ukraine.
